Company Incorporation in GMC

Incorporating in Gelephu Mindfulness City is not a standard Bhutanese registration. Companies in the SAR are formed under the Singapore Companies Act 1967 as adopted through GMC’s Application of Laws Act 2024 as Companies Act of GmC 2025, administered by the Gelephu Corporate Registration Office (GCRO) within the GMCA.

The process begins before the application: the GMCA assesses whether the proposed business aligns with GMC’s priority sectors and strategic objectives. A weak alignment case is the most common reason ventures stall.

What we do

Pre-application alignment assessment and positioning of your business case for GMCA review

Entity selection and structuring under the adopted Companies Act framework, including shareholding, directorship, and constitutional documents

Preparation of the incorporation application and supporting documents, filed with GCRO through a GMCA-empanelled CSP

Review of your Certificate of Incorporation, Certificate of Registered Business Name and UEN

Coordination of the immediate next steps: corporate bank account opening, office space, and any sector licenses

Legal advice on post-incorporation and annual compliance obligations

Who engages us

Foreign investors entering GMC for the first time, regional companies establishing SAR subsidiaries, founders relocating holding structures, and family offices building investment vehicles.

Because we also practice on the mainland, we advise on whether your activity belongs in GMC, in mainland Bhutan under the FDI regime, or in a dual structure. That single question often determines years of tax and regulatory outcomes.
